Notice is hereby given of the Spring General Meeting called by the Executive Committee of the Leinster Cricket Union ("the Union") to be held at Clontarf Cricket Club, Castle Avenue, Dublin 3 at 19.30pm on Thursday the 25th day of February, 2016 summoned for the purpose of considering the following agenda.
1 Minutes of Autumn General Meeting November 2015
2 Matters arising
3 Presentation and Adoption of accounts for the previous year 2015
4 Motion to amend Rules of the union to allow Appeals Board to increase penalties for Disciplinary Offences. Change highlighted in red below.
5 Presentation on proposed change to a company limited by guarantee – see note below
6 Any Other Business including, but not limited to, the following:

Notice of Motion
The following Notice of Motion is presented on behalf of the Appeals Board. That Rule 9.6.3 be changed as follows:
9.6.3. All appeals to the Decisions Appeals Board shall be accompanied by an appeal fee of €100 which is refundable if the Decisions Appeals Board overturn the decision appealed against or reduce any penalty imposed. Should the Decisions Appeals Board confirm the decision appealed against including any penalty imposed then the appeal fee will be paid by the Union to The Lords Taverners or to some other charity.
9.6.3. "LCU Incorporation Proposal ("the Incorporation Proposal")- for discussion at Spring General Meeting 25th February
It is the recommendation of the Executive Committee of the LCU that the Union's current status of an Unincorporated Association be changed to that of a Company Limited by Guarantee.
As it is the intention to bring the Incorporation Proposal to the Union's General Meeting next Autumn for approval this matter is included on the agenda for discussion at our General Meeting on Thursday 25th February next.
The carrying out of the Incorporation Proposal would involve the setting up of a new company ("NewCo"), to be called, say "The Leinster Cricket Union CLG", the transfer of the assets and obligations of the The Leinster Cricket Union, being the current unincorporated association, to NewCo and the dissolution of The Leinster Cricket Union.
By way of explanation and to assist with the discussion at the forthcoming Spring General Meeting there is sent to you herewith a legal paper headed "The Leinster Cricket Union - Proposal regarding the advantages and disadvantages of incorporating the Union as a company limited by guarantee". We would request that you read this paper carefully in advance of the Spring Meeting.
The business and responsibilities of the LCU are significant and ever increasing and the main reason for recommending the change is that incorporation affords the protection of limited liability to its members which protection is not afforded to the LCU in its current status, being an unincorporated association.
